Board Justification

TBV PSUs. On December 31, 2024, the TBV PSUs which were issued to the NEOs on February 24, 2022 (the “2022 TBV PSUs”) vested and exceeded the Target but performance was below Maximum level of the TBV Growth performance condition, resulting in vesting of 174% of the target number of shares granted. ROTCE PSUs. On December 31, 2024, the ROTCE PSUs which were issued to the NEOs on February 24, 2022 (the “2022 ROTCE PSUs”) exceeded the Maximum level of the ROTCE performance condition, resulting in vesting of 200% of the target number of shares granted.
