The compensation program is designed to attract, motivate, and retain executive officers, while aligning their interests with those of stockholders. It includes a mix of base salary, annual cash incentive awards, and equity compensation.

The actual cash bonuses paid for each semiannual performance period for fiscal year 2022 were based on the Incentive Plan Pay-Out Percentages for each semiannual performance period: 207% for the first half and 250% for the second half.

This amount includes matched contributions under our 401(k) plan, employee contributions to a health savings account, insurance premiums paid with respect to life insurance, and tax gross-ups paid to all employees.

The value realized on the vesting of stock awards was computed by multiplying the number of shares acquired on vesting by the market price of our common stock on the date of vesting.
