Our compensation programs are designed to maintain a balance between short- and long-term performance incentives by utilizing a combination of compensation components, including base salary, annual cash incentive awards and long-term equity awards. The Compensation Committee and Management are focused on a compensation structure that is competitive and fair and focuses on performance rather than entitlements.

Board Justification

RSUs vest 50% upon achievement, and the remaining 50% within one year of achievement, based upon the achievement of Company stock price targets $21.65 and $24.65 price per share over a rolling 30-day period and must be achieved on or before June 16, 2025. These RSUs are subject to accelerated vesting in full upon termination by reason of death or disability or certain terminations following a change in control of the Company.
