The principal purpose of our long-term incentive compensation program is to align the rewards to executives with the creation of shareholder value. For our former Chief Executive Officer, the grant date value of target long-term incentive compensation comprised 69% of total 2017 target compensation (base salary plus target short- and long-term incentive compensation).

Annual incentives paid for 2017 were determined based upon achievement of goals set for corporate and regional financial results including EBITDA, operating working capital and personal objectives.

Board Justification

Represents the number of performance shares and restricted stock units that vested in 2017. The number of shares acquired as a result of the vesting of restricted stock units includes the restricted stock units credited as dividend equivalents on each dividend payable date. The value realized upon vesting is computed by multiplying the number of performance shares by the stock price on the date of payment (February 7, 2017) with respect to the performance shares and by multiplying the number of restricted stock units by the stock price on the vesting date with respect to the restricted stock units.
