Our executive compensation programs are based on a pay-for-performance philosophy. They include both long-term compensation under the Calumet, Inc. Amended and Restated Long-Term Incentive Plan (the “LTIP”) and short-term compensation, which, together with base salary and employee benefits, provide a total compensation package intended to be competitive with the companies with which we compete for executive talent.

The 2024 cash bonus awards for our named executive officers were also based on the achievement of operational, strategic, business unit performance, and individual performance goals. Individual performance objectives for Mr. Borgmann were determined by the Board while the individual performance objectives for Messrs. Lunin, Fleming, Obermeier and Morical were recommended by the chief executive officer and approved by the Compensation Committee.
